Fairness Opinions

The professionals at McGladrey Capital Markets are experts in developing valuations and providing fairness opinions in connection with a broad range of corporate transactions, including mergers, acquisitions, restructurings, going-private transactions and the issuance of securities.  We have prepared valuations for businesses operating in virtually every industry sector.

Corporate boards of directors, special committees and other organizational decision-makers rely on fairness opinions to ensure they make well-informed decisions on behalf of their shareholders or other constituents.  A fairness opinion is essential when there is a potential conflict of interest between a company’s directors and its shareholders, or between a private equity fund’s general partner and its limited partners or other investors.  The opinion will confirm that the transaction is fair (from a financial perspective) for both the company and its shareholders or other investors.

While every company and transaction is unique, our process is generally consistent and typically includes the following elements:

  • Performing extensive due diligence to assess the company, transaction terms and conditions, and relevant industry trends and issues;
  • Employing proven and applicable valuation methodologies;
  • Conducting further analysis to identify and evaluate potential alternatives to the proposed transaction (optional; performed on request);
  • Determining whether the consideration paid, received, or issued in the transaction is within the “range of fairness” (from a financial perspective) to the shareholders or other stakeholders; and
  • Delivering the fairness opinion letter and supporting analysis.

McGladrey Capital Markets’ in-depth valuation and transaction experience in both the public and private capital markets enabled us to provide high quality, cost-effective and unbiased fairness opinions that business leaders can rely on to make well informed business decisions and fulfill their fiduciary responsibilities.
